Letter of Intent for Pilot Program

This Letter of Intent (“LOI”) sets forth the preliminary understanding between TerraHedge, Inc. (“TerraHedge”) and Client regarding participation in a pilot program. This LOI is nonbinding and intended solely as a framework for further collaboration.

1. Purpose
TerraHedge and Client intend to collaborate on a six-month free trial of TerraHedge’s farm risk analytics platform. The purpose of this trial is to allow Client to evaluate the platform’s functionality, usability, and potential business value.

2. Scope of Trial
- Duration: Six (6) months beginning on October 1, 2025 and ending on March 31, 2026.
- Access: TerraHedge will provide Client with full access to its farm risk analytics platform and related tools, at no cost, during the trial period.
- Support: TerraHedge will provide reasonable technical support and onboarding to the Client's designated users.

3. Nonbinding Terms
This LOI does not create any binding legal obligations for either party. Neither party is obligated to enter into a definitive agreement. Any continuation beyond the trial period will require a separate written agreement negotiated in good faith.

4. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or non-public information shared during the trial, subject to standard exceptions (e.g., information already public or required by law to be disclosed).

5. Next Steps
At the conclusion of the trial, both parties will review outcomes and consider entering into a formal commercial agreement.
